1. Introduction and Acceptance

These Terms and Conditions (“Terms”) govern the access and use of the GuardOne Pro App (mobile application and management web portal) operated and owned by Global Coditure Technologies (“Company”). By registering for or using this app, the corporate Client and individual end-users (“User”) agree to these Terms.

2. Scope of Services & Sensitive Feature Mechanisms

The platform provides B2B workforce management, featuring:

  • Attendance System: Mandatory location verification and live image capture (selfie) at the exact moment of attendance upload.
  • Patrolling Tracking: Geolocation (GPS) mapping and security route tracking restricted to designated active deployment windows.
  • Emergency SOS Feature: An option that, when explicitly tapped by the user, transmits real-time location logs and logs a 30-second situational audio recording via the microphone to the employer’s administrative dashboard for immediate safety response.
  • HR Workflows: Leave requests, digital onboarding documentation, and salary advance request logging.

3. Subscription, Billing, and Payment Terms

  • 3.1 Paid Subscription Basis: Services are provided strictly on a paid commercial subscription model.
  • 3.2 100% Advance Payment: All platform and license fees must be paid 100% in advance prior to subscription deployment or renewal periods.
  • 3.3 Grace Period: A maximum grace period of 7 (seven) calendar days from the invoice due date may be provided at the sole discretion of the Company.

4. Account Management, Administrative Control, and Lifecycle Policy

  • 4.1 Administrative Modifications: If payment transitions past the contractually designated grace period, the Company reserves the legal right to apply administrative restrictions to management web portal licenses, modify dashboard data visualization access, and regulate standard personnel account creation features.
  • 4.2 Core Safety Isolation: For strict public safety alignment and end-user data security protocol adherence, fundamental application emergency communication frameworks, user-triggered safety signals, or active personal safety response utilities are maintained separately from general commercial administrative account balances. End-user safety integrity remains isolated from standard billing administrative disputes.
  • 4.3 Permanent Deletion: Failure to settle administrative dues within 30 days of portal restrictions authorizes the Company to permanently delete the Client’s corporate structural database and associated administrative records from live hosting frameworks.
  • 4.4 Liability Release: The Company bears no liability for operational disruptions or administrative visibility gaps resulting from subscription suspensions or deletions due to non-payment.

5. Strict No-Refund Policy

All payments made to Global Coditure Technologies are 100% non-refundable under all circumstances, including partial app deployment, reduction in guard manpower, or termination resulting from policy violations.

6. White-Label Licensing Terms

  • 6.1 Limited License: Brand customized configurations are provided as a limited, revocable, non-exclusive operational license.
  • 6.2 Core Ownership: Core engine source code, system design, databases, algorithms, and infrastructure remain the exclusive intellectual property of the Company.
  • 6.3 Restrictions: Clients may not resell, lease, sublicense, reverse-engineer, or duplicate application code to build a competing software product.

7. Intellectual Property Rights

All software code, UI/UX design components, proprietary operational frameworks, and application materials associated with the GuardOne Pro App are the sole property of Global Coditure Technologies.

8. Data Ownership and Compliance Responsibility

  • 8.1 Client Ownership: The Client retains legal ownership of individual employee files and operational logs uploaded to the system.
  • 8.2 Mandatory Employee Consent: The Client (Employer) assumes full, absolute legal liability for ensuring that all guards, field officers, and staff have given clear, explicit legal consent for on-demand location mapping, mandatory attendance photo verification, and user-initiated microphone recordings during SOS triggers.
  • 8.3 Data Spoofing: Users are strictly prohibited from using mock location applications, GPS spoofing software, or modified device frameworks. Any detected spoofing will result in immediate account termination.
  • 8.4 Employee Rights and Policy Safeguards: Global Coditure Technologies strictly prohibits corporate Clients from forcing app usage outside of official operational hours. The application is built with native toggle mechanisms allowing end-users to fully control when active tracking sessions start and end. No continuous, perpetual tracking occurs while an employee is off-duty.

9. Service Availability and Limitations

The Company strives for high architecture availability but does not guarantee error-free, uninterrupted data transmission. The real-time delivery of SOS audio recordings and location packets depends heavily on local cellular network coverage, third-party mapping APIs (e.g., Google Maps), and device operating system power management settings.

10. Limitation of Liability

To the maximum extent permitted by law, Global Coditure Technologies shall not be held liable for commercial disruptions, facility security breaches, tracking inaccuracies, unrecorded SOS incidents due to connectivity loss, or payroll calculation errors. Total aggregate liability for any legal claim shall not exceed the financial amount paid by the Client to the Company for the single billing cycle immediately preceding the event.

11. Governing Law and Jurisdiction

These Terms shall be interpreted and enforced in accordance with the laws of India. All disputes, claims, or legal actions arising under this agreement shall be subject to the exclusive jurisdiction of the courts located in Surat City, Gujarat, India.
