2. Definitions
For the purposes of these Terms & Conditions, the following definitions shall apply:
“Company” refers to Global Coditure Technologies (GCT), the provider of ERP software and business automation solutions.
“Client” refers to any business entity, organization, or authorized purchaser using the Company’s software or services.
“Software” refers to all ERP products developed and provided by the Company, including payroll, HR, compliance, inventory, and web portal systems.
“Services” refers to implementation, installation, configuration, training, AMC support, and technical assistance provided by the Company.

“License” refers to the non-transferable right granted to the Client to use the Software as per the purchased plan.

3. Scope of Services
Global Coditure Technologies provides enterprise-grade ERP and business automation solutions designed primarily for Security Agencies, Facility Management Companies, Manpower Suppliers, and other workforce-driven organizations.
Our services include:
Payroll and HR Management Software
Compliance Automation Systems
Admin Control Portal
Inventory Management System
Web-Based Salary Slip Portal
Software Implementation and Configuration
Data Migration Support
Staff Training (HR, Accounts, and Admin)
Remote Technical Support and AMC Services
All services are delivered based on the agreed scope, selected software plan, and documented client requirements.
4. Software License Terms
4.1 License Model
All GCT software products are provided under a one-time payment, lifetime license model, unless otherwise specified in a separate written agreement.
4.2 Nature of License
The license granted is non-exclusive, non-transferable, and limited to the purchasing organization.
The Client receives the right to use the software, not ownership of the software.
The license is valid only for the organization that has purchased the software package.
4.3 Usage Limitations
Access rights, multi-user access, and multi-company usage are limited as per the purchased plan.
The software may not be sublicensed, rented, leased, or resold without written authorization from the Company.
4.4 Restrictions
The Client shall not:
Copy, duplicate, or redistribute the software unlawfully
Reverse engineer, decompile, or modify the software code
Use the software for commercial resale or third-party service delivery without authorization
5. User Responsibilities
The Client and its authorized users agree to the following responsibilities:
Provide accurate and complete business, payroll, and employee data during implementation
Maintain confidentiality of login credentials and system access details
Use the software strictly for lawful and professional business purposes
Ensure internal compliance with labour laws, statutory regulations, and data accuracy
Maintain periodic data backups where applicable and recommended
Prevent unauthorized access to the software environment
The Company shall not be held liable for issues arising from inaccurate data input or unauthorized system usage by the Client.
6. Payment Terms and Commercial Conditions
6.1 Software Pricing Structure
All software packages are offered on a one-time payment basis as per the selected plan and official quotation or proposal.
6.2 Payment Schedule
Unless otherwise agreed in writing:
Advance payment may be required for order confirmation
Remaining balance shall be payable as per the agreed milestone schedule (installation, configuration, or go-live)
6.3 Taxes
All applicable taxes, including GST or statutory levies, shall be borne by the Client as per prevailing Indian tax regulations.
6.4 Software Activation
Software activation, installation, and deployment shall be initiated only after receipt of the agreed payment or advance confirmation.
6.5 Refund Policy
Due to the nature of customized ERP software and lifetime licensing, all payments made are non-refundable, unless explicitly stated in a written agreement.
6.6 Additional Charges
Additional fees may apply for:
Custom software modifications
Onsite visits or extended training
Third-party integrations
Hardware, hosting, or cloud infrastructure
Additional modules beyond the selected plan
7. Implementation, Training, and Support
7.1 Implementation Process
The implementation process includes:
Requirement analysis and scope finalization
Software installation and system configuration
Database setup and structure alignment
Client-specific customization (if agreed)
7.2 Data Migration
The Company may assist in data migration based on availability, format compatibility, and agreed scope.
7.3 Training Services
Training will be provided to authorized personnel, including:
HR Department
Accounts Team
Administrative Staff
Training may be conducted remotely or onsite as per the agreement.
7.4 Go-Live Support
The Company will provide reasonable assistance during the go-live phase to ensure smooth operational adoption of the software.
8. AMC (Annual Maintenance Contract) Terms
8.1 Free AMC Period
A free AMC period may be provided as per the purchased software plan (e.g., 6 months or 1 year).
8.2 Paid AMC (Post Free Period)
From the second year onwards, AMC services may be offered under:
Standard AMC Plan
Premium AMC Plan
8.3 AMC Coverage
AMC services typically include:
Software updates and patches
Compliance and statutory updates
Bug fixes and troubleshooting
Remote technical support
Performance monitoring and minor enhancements
8.4 AMC Exclusions
AMC does not include:
Major custom development
Third-party software integrations
Hardware maintenance
Server hosting or cloud costs
Extensive reconfiguration due to client-side operational changes
9. Data Ownership and Confidentiality
All data entered, uploaded, or processed within the ERP software, including payroll records, HR data, compliance registers, and employee information, shall remain the sole property of the Client.
The Company:
Maintains strict confidentiality of all client business data
Does not sell, share, or disclose confidential data to unauthorized third parties
Processes client data only for software functionality, support, and agreed services
Given the sensitive nature of payroll and workforce data, the Company follows professional confidentiality standards appropriate for enterprise ERP systems.
10. Data Security and System Usage
The Company implements reasonable technical and administrative safeguards, including:
Secure database architecture
Role-based access control
User authentication protocols
Controlled system permissions
The Client is responsible for:
Managing authorized user access
Protecting system credentials
Preventing unauthorized system usage within their organization
11. Prohibited Uses
The Client and users are strictly prohibited from:
Reverse engineering or hacking the software
Unauthorized duplication or piracy
Using the software for illegal, fraudulent, or unethical activities
Sharing licensed software outside the purchasing organization
Attempting to breach system security or exploit vulnerabilities
Any violation may result in immediate suspension or termination of services.
12. Intellectual Property Rights
All intellectual property rights, including but not limited to:
Software source code
User interface design
Branding and trademarks
Documentation and system architecture
are the exclusive property of Global Coditure Technologies (GCT).
The Client is granted usage rights under the license agreement but does not acquire ownership of the software or related intellectual property.
13. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for:
Indirect or consequential losses
Business interruption or revenue loss
Data loss due to client negligence or improper usage
Errors caused by inaccurate data input
Failures arising from third-party integrations, hardware, or external systems
The Company’s total liability shall be limited to the amount paid by the Client for the software license.
14. Warranty and Disclaimer
The software is provided based on the agreed scope, features, and specifications outlined in the official proposal or agreement.
The Company does not guarantee uninterrupted or error-free operation at all times.
Software performance may depend on client infrastructure, data quality, and operational environment.
Customizations are subject to separate written agreements.
Compliance features are updated based on available government rules and regulatory changes, and timelines may vary accordingly.
15. Third-Party Services and Integrations
The Company’s ERP software may interface with third-party tools, biometric devices, hosting platforms, or external systems only if explicitly agreed.
Unless specified in writing:
Third-party software licenses are not included
Hardware and cloud services are not part of the base software cost
The Company is not responsible for failures caused by third-party systems
16. Termination and Suspension
The Company reserves the right to suspend or terminate services or software access under the following circumstances:
Non-payment or breach of payment terms
Misuse or unauthorized use of software
Violation of these Terms & Conditions
Legal or regulatory requirements
Unauthorized duplication or intellectual property infringement
Termination shall not affect outstanding payment obligations.
17. Governing Law and Jurisdiction
These Terms & Conditions shall be governed and interpreted in accordance with the laws of India.
Any disputes arising out of or related to the use of the software, services, or website shall be subject to the exclusive jurisdiction of the competent courts in the Company’s operational region in India.
18. Updates and Modifications to Terms
